ROADLOK Minimum Advertised Price Policy

1. Purpose and scope
New Hampton Technologies, LLC ("NHT") manufactures and sells the ROADLOK motorcycle security system. This policy sets the minimum price at which ROADLOK products may be advertised in the United States. It applies to every reseller of ROADLOK product in the United States, in every channel, whether the product was purchased from NHT directly or obtained from any other source.
ROADLOK is a technical product selected by caliper geometry and fitment. Selling it takes demonstration, measurement and fitment advice, and a reseller who invests in that work cannot recover the cost if a competitor advertises the same product below it. This policy protects that investment and keeps the brand presented consistently to the public.
2. The policy
The Minimum Advertised Price for every ROADLOK product is the Manufacturer's Suggested Retail Price stated on the current ROADLOK US price list.
No ROADLOK product may be advertised at any price below MSRP. No discount, coupon, promotional code, rebate, credit, trade-in allowance, gift card, bundle, free or discounted shipping offer, or other inducement may be advertised in any way that presents, states or implies an effective price below MSRP.
The current MSRP for each product is published on the ROADLOK US price list, which is issued to authorized resellers and revised from time to time. The price list in force on the date of an advertisement governs that advertisement.
3. What counts as advertising
Advertising means any public communication of price, in any medium, including:
- Reseller websites, online storefronts and landing pages
- Third-party marketplaces, including Amazon, eBay, Walmart and equivalents
- Comparison-shopping engines, price aggregators and product data feeds
- Paid search, shopping ads, display advertising and retargeting
- Social media posts, stories, reels and paid social
- Email, SMS and push campaigns
- Print catalogs, flyers, direct mail, magazine and broadcast advertising
- In-store signage, shelf tags, window displays and printed price sheets
A reseller is responsible for the advertised price of ROADLOK product in every channel it controls or supplies, including channels operated on its behalf by a third party and prices set by automated repricing software. Automated repricing is not an exception to this policy.
4. Scope
This policy governs advertised price. NHT does not set, direct or agree with any reseller on the price at which ROADLOK product is sold.
No price below MSRP may be advertised, listed, published or displayed in any channel, and no advertisement may state or imply that a price below MSRP is available. A reseller may quote a price at the point of sale and may extend an accommodation to an individual customer at its own discretion. An accommodation given to an individual customer is not advertising. An accommodation communicated to the public in any form is advertising and is subject to this policy in full.
NHT neither requests nor requires agreement to this policy. No reseller is asked to accept it, acknowledge it, sign it or confirm compliance with it.
5. Authorized promotions
NHT may from time to time authorize a promotional period during which a specified lower Minimum Advertised Price applies to specified products. Any such authorization is issued by NHT in writing to all authorized resellers at the same time, states the products and the dates it covers, and expires on the stated end date. Outside an authorized promotion, MSRP is the Minimum Advertised Price. No individual reseller is granted a promotional exception.
6. Enforcement
NHT monitors advertised prices for ROADLOK product. On identifying an advertisement below the Minimum Advertised Price, NHT will act as follows, without prior warning:
- Dealer pricing is suspended immediately.
- All open orders are placed on hold or cancelled at NHT's election.
- The reseller account is terminated if the advertisement is not corrected.
NHT may, in its sole discretion, decline to act on any particular violation. Declining to act is not a waiver of this policy and does not limit NHT's right to act on any other violation, including a later violation by the same reseller.
7. This policy is unilateral
This policy is adopted and enforced by NHT unilaterally. NHT will not discuss, negotiate, or seek, solicit or accept any assurance, commitment or agreement from any reseller regarding advertised or resale pricing.
No NHT employee, sales representative, agent or distributor has authority to grant an exception to this policy, to approve an advertisement in advance, to modify the policy for an individual reseller, or to enter into any understanding about pricing. Any such statement is void and does not bind NHT.
8. Changes to this policy
NHT may modify, suspend or terminate this policy, in whole or in part, at any time and without notice. The policy in force is the policy published on this page.

This policy is adopted unilaterally by New Hampton Technologies, LLC. It is not a contract and it is not an agreement. No reseller is asked or required to agree to it, and it does not set the price at which any reseller sells ROADLOK product.
